Entrepreneurial Counsel
We represent startups and the investors who back them, with practical Silicon Valley advice on what matters at each stage.
We take on a limited number of early-stage companies. From formation to exit, we handle the legal work founders need done right the first time, and that investors will look for in diligence.
What We Handle
Formation and foundations. Entity formation, founder equity and vesting, 83(b) elections, IP assignment and cap table setup, including U.S. flips for companies founded abroad.
Venture financings. SAFEs, convertible notes and priced rounds, for the company or the investor. NVCA-based documents, with attention to board seats, protective provisions and the terms that follow you into the next round.
Ongoing counsel. Commercial contracts, hiring and equity grants, trademarks and board matters as the company grows.
For investors. Angels and lead investors in venture financings and diligence. VC funds have their own page, Emerging Manager Counsel.
